Terms of Service

These Terms of Service (“Terms”) govern your use of the BotPrimeX platform, website, and all related services operated by BotPrimeX Pte. Ltd. (“BotPrimeX,” “we,” “our,” or “us”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our platform.

1. Eligibility

  • •You must be at least 18 years old (or the age of majority in your jurisdiction) to use BotPrimeX.
  • •You must have the legal capacity to enter into a binding agreement.
  • •You are responsible for ensuring that using our platform complies with the laws in your country or jurisdiction.
  • •Users from sanctioned countries (OFAC, EU sanctions lists) are prohibited from using BotPrimeX.

2. Account Registration

You agree to provide accurate, current, and complete registration information and to keep it updated. You are responsible for all activity under your account and for keeping your login credentials secure.

We may require identity verification (KYC) for certain features or higher-tier plans. Failure to complete verification may result in restricted access.

You may not create multiple accounts, transfer your account, or share login credentials with third parties.

3. Services Description

BotPrimeX provides automated cryptocurrency trading bot services. You connect your third-party exchange accounts via API keys, configure trading bots with your chosen strategy and parameters, and our platform executes trades on your behalf according to your configuration.

Important: BotPrimeX does not provide financial advice, investment recommendations, or guaranteed returns. Our bots are tools that execute strategies you configure. All trading decisions are ultimately yours.

4. API Keys & Exchange Access

By providing your exchange API keys, you authorize BotPrimeX to execute trades on your exchange account. You should only grant trade and read permissions — never withdrawal access.

Your API keys are encrypted at rest using AES-256. We never have access to withdraw your funds. You may revoke API keys at any time through your exchange account.

You are solely responsible for the security of your exchange accounts and API keys. BotPrimeX is not liable for losses resulting from compromised API keys that were not compromised through our platform.

5. Subscriptions & Payments

Plans: We offer Starter ($29/month), Pro ($99/month), and Enterprise ($299/month) subscription plans with varying bot limits and features.

Profit Share: In addition to the subscription fee, we charge a 30% profit share on realized bot earnings. Profit share is calculated per bot cycle and billed monthly. If a bot does not generate profit, no profit share is charged.

Billing: Subscriptions are billed monthly in advance. Profit share is billed in arrears. All payments are processed through our payment provider. Prices are in USD.

Cancellation: You may cancel at any time. Access continues until the end of your current billing period. No refunds for partial months. Active bots will be safely stopped and open positions closed upon cancellation.

Free Trial: New accounts may receive a free trial period. At the end of the trial, you will need to subscribe to continue using premium features.

6. Risk Acknowledgment

Cryptocurrency trading involves substantial risk of loss. You acknowledge and agree that:

  • • The value of cryptocurrencies can fluctuate significantly and you may lose some or all of your investment.
  • • Past performance of any bot or strategy is not indicative of future results.
  • • Automated trading bots may malfunction or execute poorly in extreme market conditions.
  • • Exchange outages, API failures, or network issues may prevent timely trade execution.
  • • You are solely responsible for your trading decisions and configurations.
  • • BotPrimeX does not guarantee profits or protection against losses.

7. Prohibited Conduct

You agree not to:

  • • Use the platform for money laundering, fraud, or any illegal activity
  • • Attempt to manipulate markets using our bots (wash trading, spoofing, etc.)
  • • Reverse engineer, decompile, or attempt to extract our source code or algorithms
  • • Interfere with or disrupt the platform, servers, or networks
  • • Create multiple accounts or use automated tools to access the platform
  • • Resell or redistribute our services without written authorization
  • • Abuse the referral program through self-referrals or fake accounts

8. Intellectual Property

All content, code, designs, trademarks, and intellectual property on the BotPrimeX platform are owned by BotPrimeX Pte. Ltd. or its licensors. You receive a limited, non-exclusive, non-transferable license to use the platform for personal trading purposes.

You may not copy, modify, distribute, sell, or lease any part of our platform or services without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOTPRIMEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, WHETHER CAUSED BY NEGLIGENCE OR OTHERWISE.

Our total aggregate liability for any claims arising from your use of the platform shall not exceed the amount you paid to BotPrimeX in the 12 months preceding the claim.

We are not liable for losses caused by exchange outages, API failures, market conditions, force majeure events, or any factors outside our reasonable control.

10. Indemnification

You agree to indemnify and hold harmless BotPrimeX, its directors, officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. Scheduled maintenance will be communicated in advance when possible.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

12. Termination

We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, fail to pay fees, or if required by law. We will provide notice where reasonably possible.

You may terminate your account at any time through your account settings. Upon termination, your bots will be stopped, API keys deleted, and personal data handled per our Privacy Policy.

13. Governing Law & Disputes

These Terms are governed by the laws of Singapore. Any disputes shall be resolved through binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC). The seat of arbitration shall be Singapore.

Before initiating arbitration, both parties agree to attempt good-faith negotiation for at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the revised Terms.
